By accessing or using brex-business services, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any part of these terms, you are prohibited from using our services. These Terms constitute a legally binding agreement between you and brex-business.
brex-business provides a financial operating system including corporate cards, expense management tools, and business banking software (collectively, the "Services"). The Services are intended exclusively for business use by authorized commercial entities. We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time with reasonable notice.
To access the Services, you must register for an account and provide accurate, complete, and current information. You must be a duly authorized representative of a legitimate business entity. You are solely responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
All subscription fees, transaction fees, and other charges are stated at the time of purchase and are due in accordance with the applicable billing cycle. You authorize brex-business to charge your designated payment method for all fees incurred. All fees are non-refundable except as expressly stated in our refund policy or required by applicable law.
All content, software, trademarks, logos, and technology comprising the brex-business platform are the exclusive property of brex-business or its licensors and are protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Services solely for your internal business purposes. No license or right is granted to reproduce, distribute, or create derivative works from any brex-business intellectual property.
You may not use the Services for any unlawful purpose, to facilitate fraud, money laundering, or any activity prohibited by applicable financial regulations. You may not reverse-engineer, decompile, or attempt to extract the source code of any brex-business software. Unauthorized access, interference with platform infrastructure, or use of automated scraping tools is strictly prohibited.
Our collection and use of personal and business data is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Services, you consent to the data practices described therein. We process financial data in accordance with applicable data protection laws including GDPR and CCPA where applicable.
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. brex-business does not warrant that the Services will be uninterrupted, error-free, or completely secure. Financial information and analytics provided through the platform are for informational purposes only and do not constitute financial advice.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, brex-business SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF THE SERVICES. Our total aggregate liability for any claim arising under these Terms shall not exceed the fees paid by you in the twelve (12) months preceding the event giving rise to the claim.
Either party may terminate this agreement upon written notice if the other party materially breaches these Terms and fails to cure such breach within thirty (30) days of notice. brex-business may immediately suspend or terminate your access if we reasonably suspect fraudulent activity, violation of financial regulations, or unauthorized use. Upon termination, your right to use the Services ceases immediately, and outstanding fees remain due.
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Wilmington, Delaware. You waive any objection to the exercise of jurisdiction over you by such courts.
brex-business reserves the right to modify these Terms at any time by posting updated terms on our platform with a revised effective date. Continued use of the Services after the effective date of any modifications constitutes your acceptance of the updated Terms. We will provide at least fourteen (14) days' notice for material changes.
